All such Communications will be deemed valid, in writing, and of full legal force, and will be considered delivered to you on the day after their publication or transmission. Currently, only the English version of these Terms, Materials and Communications is considered official. The English version shall prevail in case of differences in translation of any Materials, Communications, or other content.

WOW-HOW endeavours to make commercially reasonable efforts to ensure that the Materials are accurate, however, we do not provide any warranties as to their accuracy, timeliness, or completeness, and are under no obligation to update or correct them. The Website and Materials are provided “as is” and “as available”, without warranties of any kind, express or implied, including as to title, non-infringement, merchantability, fitness for a particular purpose, security, or continuous availability. Any use of the Website and Materials, as well as any reliance on them, is at your own discretion and risk, and you are solely responsible for any damages or losses arising from such use. Furthermore, when using the Website and Materials, you may encounter certain third-party data and industry publications. We do not independently verify such information, make no express or implied warranties in relation to it, and do not endorse it and any third-party products or services mentioned in or made available through it.

4. Intellectual Property

Except as explicitly stated in these Terms, you do not gain any rights in or to any copyrighted content, trade, domain and business names, logotypes, trademarks and other marks, designs, drawings, graphics, icons, pictures, animations, works of authorship, etc., which may be demonstrated within the Website, contained in the Materials or Communications, or otherwise made available to you (the “Wow-How IP”), which remains fully owned by us and/or other respective rights holders, who may restrict its use at any time. You must not obscure, remove, or alter any marks or notices on the Website and in the Materials.

Subject to your compliance with these Terms, you are hereby granted a limited, temporary, non-transferable, non-exclusive, revocable, non-sublicensable licence (right) to access the Website for its intended purposes for the duration of these Terms and in accordance therewith (the “Licence”). The Licence will remain effective until it is revoked or these Terms terminate or expire. All rights not explicitly granted under the Licence remain reserved by the respective rights holders. The Website and Wow-How IP may not be copied, imitated or reproduced, in whole or in part, without our express prior written permission.

5. Website Use and Access

WOW-HOW does not warrant that the Website will operate and/or be available at all times without disruption or interruption, or that it will be immune from unauthorized access or error-free. It may be terminated, suspended, updated, or modified at any time, with or without prior notice. You may not use this Website in any manner that could disrupt, interfere with, or inhibit others from, using the Website, or that could disable, impair, or harm the functioning of the Website or its servers. You may not use robots, spiders or other automated means to access the Website, provided, however, that search engines and their operators may use such means for creating publicly available searchable indices of the materials, excluding caches or archives of such materials.

6. No Liability

To the fullest extent permitted by applicable law, neither we nor our affiliates shall be liable for any direct, indirect, punitive, exemplary, incidental, or consequential damages, including loss of goodwill, profits, data, value, or business interruption, arising out of or in connection with the Website, these Terms, and Materials, including their use, reliance, accuracy, reliability, timeliness, truthfulness, or completeness, whether based on contract, warranty, negligence, strict liability, tort, or any other legal theory, even if advised of the possibility of such damages. Nothing in these Terms limits liability for gross negligence, fraud, death or personal injury resulting from negligence, or any other liability that cannot be legally limited.

7. Applicable Law and Dispute Resolution

These Terms, as well as any relationship relating to the Website, are governed by the laws of the State of California, excluding any conflict of law rules. Any claims, disputes or controversies related to these Terms and any matters contemplated herein shall be finally settled by the courts of the State of California, having jurisdiction.

8. Amendments

We may make changes to these Terms at any time without your consent or prior notice. In this case, the “Last Updated” date and version number at the top of these Terms will be updated accordingly. The updated Terms will automatically replace and supersede the previous version upon publication, taking immediate effect. By continuing to use the Website, you confirm your acceptance of the updated Terms. You must review these Terms regularly so that you are aware of any changes we have made. If there is a material change to these Terms, WOW-HOW will endeavour to notify you either by prominently posting a notice on the Website before such changes take effect or directly sending you a notification.

9. Entire Agreement

These Terms and any incorporated documents constitute the entire agreement between you and us, superseding all prior and contemporaneous understandings, writings, or promises related to the subject matter of these Terms. You acknowledge and confirm that you will not rely on and have no remedies in respect of any warranty, promise, assurance, or statement (whether made innocently or negligently) that is not set out in these Terms.

10. Assignability

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may transfer or assign these Terms and our rights and obligations hereunder at any time without your consent.

11. Severability

The invalidity or unenforceability of any provision or part-provision of these Terms shall not affect the validity or enforceability of any other provisions of these Terms, all of which shall remain in full force and effect.
